1. Professional Service Scope

bagsrain.com is a professional B2B platform. We provide technical consulting, 3D prototyping, and mass manufacturing services for the fashion industry. By utilizing our services, you confirm that you are acting in a professional business capacity.

2. Development and Manufacturing Phases

Our workflow is divided into:

• Development Phase: Consulting, 3D modeling, and technical specification creation.
• Production Phase: Material sourcing, sampling, and mass manufacturing. Each phase is treated as a separate milestone with specific technical requirements.

3. Intellectual Property and Confidentiality

• Client Ownership: All original designs, sketches, and proprietary specifications provided by the Client remain the Client's exclusive property.
• Confidentiality: bagsrain commits to strict non-disclosure. We will not reveal your designs or business strategies to third parties. A formal Non-Disclosure Agreement (NDA) can be provided upon request.

4. Resource Commitment and Fees

The development process involves expert labor and resource allocation. Once technical work (such as 3D modeling or pattern construction) has commenced, all associated service fees are non-refundable, as they represent the cost of labor and resource reservation.

5. Pre-Production (PP) Sample Protocol

The PP Sample is the final benchmark for quality.

• Approval: Mass production begins only after the Client provides written approval of the PP sample.
• Consistency: Any production that matches the approved PP sample is considered contractually compliant.

6. Manufacturing Standards and Tolerances

As high-end handbags involve handcrafted processes:

• Natural Variance: Minor variations in leather grain, texture, and handcrafted stitching are inherent characteristics and not defects.
• Industrial Tolerances: A quantity fluctuation of ±3% and minor color deviations due to dye lots are considered acceptable within global industry standards.

7. Shipping and Risk Transfer

Unless otherwise agreed, orders are fulfilled on an EXW (Ex-Works) or FOB (Free On Board) basis. The risk of loss or damage passes to the Client once the goods are delivered to the carrier.

8. Force Majeure

bagsrain is not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, material shortages, or government-imposed trade restrictions.

9. Limitation of Liability

In any event, bagsrain’s total liability is strictly limited to the replacement or repair cost of the disputed goods and shall not exceed the actual amount paid for the specific order.

10. Governing Law

These Terms are governed by the laws of the People’s Republic of China. Any disputes shall be settled through negotiation or via the court of competent jurisdiction in Chengdu, China.
